How much does it cost to register a Sdn Bhd?
The government fee is fixed: RM1,010 paid to SSM via CRS. Professional fees vary by provider. Ours: RM 2,588 to incorporate plus RM 2,580 of year-one retainer, registered office, BO declaration and annual return — RM 5,168 for the first twelve months, inclusive of SST. Do I need a company secretary for a Sdn Bhd?
Yes — it's the law. Every Malaysian company must appoint a licensed company secretary within 30 days of incorporation under Section 236 of the Companies Act 2016, and the office can never stay vacant longer than 30 days. Operating without one is an offence by the company and its directors.
How long does it take to register a company in Malaysia?
A Sdn Bhd is typically registered in 3–7 working days from complete documents. SSM's own processing after submission usually takes 1–3 working days; the common delays are company-name rejection and incomplete director details. Pre-screening names against the SSM register is the single biggest time-saver.
What does your incorporation package include?
For a one-person company, RM 2,588 covers the SSM incorporation fee of RM1,010, one name search, a bankruptcy check, the Constitution and its stamp duty, common seal, register books, and the resolution to open one bank account. Company secretary, registered office, BO declaration and the annual return are separate recurring items, priced on our pricing page.
Is the SSM fee RM1,000, RM1,010 or RM1,050?
The incorporation fee itself is RM1,000, and RM1,010 is what you pay in practice — RM1,000 plus a RM10 service charge. SSM's name search is a separate RM50. Quotes of RM1,050 bundle a name search in. All of it sits inside our incorporation package rather than arriving as separate line items.
Sole proprietorship or Sdn Bhd — what's the difference?
A sole proprietorship (enterprise) is you: registered under ROBA 1956, Malaysian/PR-only, unlimited personal liability, profits taxed as personal income at 0–30%, renewal RM60 a year for up to five years at a time. A Sdn Bhd is a separate legal entity: limited liability, SME rates of 15%/17%/24%, and yearly compliance. Which wins depends on your profit and risk.
How do I change my company secretary?
Switching is straightforward: the new secretary consents, the board resolves, SSM is notified, and your statutory records transfer across. The one legal constraint is continuity — no vacancy beyond 30 days. We handle the entire takeover, including collecting your records from the outgoing firm.
Can I register a Sdn Bhd without coming to an office?
The engagement runs on WhatsApp and email — documents, instructions and your Notice of Registration are all electronic, and we file with SSM on your behalf. Where a step needs identity verification or an in-person formality, we tell you in advance and arrange the practical route for your situation, whether you are in Kuala Lumpur or abroad.
