How do I make my company dormant properly?

Last updated: Answer from Robo Company Secretary How we write answers

Dormancy does not suspend a company's filing duties. Annual returns, financial statements, a secretary and a registered office remain necessary. Audit exemption is conditional: SSM's dormant-company test covers dormancy since incorporation, or throughout the current and immediately preceding financial year. Stopping sales alone does not establish eligibility.

For this test, SSM looks at business activity and accounting transactions, with limited exclusions for compliance costs. Ask an accountant to check transactions and continuing tax obligations before treating the company as dormant. The duration of the pause also matters when comparing upkeep with eventual closure.
