Corporate Secretarial

Run your Malaysian compliance on autopilot.

Annual returns, board resolutions, statutory registers, AGMs, share movements — everything the Companies Act 2016 expects of your Sdn Bhd, handled by a senior chartered secretary who knows your business by name.

What's included

What 'company secretary' actually means in Malaysia.

Under Section 235 of the Companies Act 2016, every Sdn Bhd must appoint a licensed company secretary. The role is more than form-filing — it's the ongoing guardrail that keeps your company legally clean, board-ready, and audit-passable.

  • Maintenance of statutory registers
  • Filing of annual returns with SSM
  • Drafting board and shareholder resolutions
  • Convening AGMs and EGMs
  • Updating particulars (directors, address, shares)
  • Compliance calendar management
  • Share allotments and transfers
  • Constitution amendments
  • Beneficial ownership declarations
  • Charge filings (if you take debt)
  • Strike-off support (if you wind down)
  • Liaison with SSM, LHDN, and your auditor

Questions we get

What founders ask about ongoing secretarial work.

Yes. Section 235 of the Companies Act 2016 makes it mandatory. The secretary must be a Malaysian resident and licensed by either SSM, MAICSA, MACS, or another prescribed body. Operating without one is a compliance breach with penalties.

Yes, anytime. We coordinate the handover — letter of resignation from outgoing, appointment of new, transfer of statutory records. Usually completed within a week, no operational disruption.

Late filing penalties accrue, and persistent non-filing leads to strike-off proceedings. Our calendar and reminders prevent this — but if you're already late, we can usually get you back on track within a few weeks.

Tax advice itself is a separately licensed activity. We coordinate with your tax agent (or refer one of our partners), but we don't act as your tax agent. Same for audit — we work alongside your auditor, not as them.
