01. Agreement

By using this website or engaging Robo Company Secretary (operated by AK Secretarial Companies Sdn Bhd, Company Reg 201101008946 (937085-D)) for services, you agree to these Terms of Service.

02. Our services

Robo Company Secretary provides corporate secretarial services, company incorporation facilitation, registered office address services, nominee director services, and bank account opening facilitation in Malaysia. Specific scope and fees for each engagement are documented in a separate engagement letter signed by both parties.

03. Engagement and fees

Services begin upon written engagement and payment of agreed fees. Fees are quoted upfront and fixed for the agreed scope. Out-of-scope work is quoted separately before commencement. Government fees (SSM, LHDN, etc.) are pass-through and may be invoiced separately.

04. Your obligations

You agree to: provide accurate information and identity documents required for our services, respond to our requests within reasonable timeframes (typically required for compliance deadlines), pay invoices within agreed terms, and inform us of any changes to your structure or circumstances that affect our services.

05. Our obligations

We agree to: perform services with reasonable care and skill, maintain the confidentiality of your information, file documents accurately and on time given your timely cooperation, and inform you promptly of any matters requiring your attention.

06. Limitations and disclaimers

While we exercise professional care, we are not your tax advisor, legal counsel, or auditor unless explicitly engaged. We do not guarantee specific outcomes (e.g., bank account approvals, license grants) where third-party decisions are involved. Our liability is limited to fees paid for the specific service in question, except where Malaysian law provides otherwise.

07. Termination

Either party may terminate an engagement with reasonable written notice. Upon termination, we will: complete in-progress filings where required for your compliance, hand over statutory records to your incoming secretary if applicable, and invoice for work performed up to termination.

08. Governing law

These Terms are governed by the laws of Malaysia. Disputes will be resolved through good-faith negotiation, and failing that, through the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.

09. Changes

We may update these Terms occasionally. The 'Last updated' date reflects the most recent change. Continued use after changes constitutes acceptance.
